创业家（EMP）课程，专为国内外中小企业创始人和决策者量身订制，旨在帮助学员发现和解决创业过程中的企业运营和资本运作的问题，通过各种真知灼见的碰撞，使学员对企业、对财富、对社会有更深刻的领悟。

The EMP Course is designed for the founders and decision-makers of the small and medium-sized enterprises, aimed at helping students to discover and solve the problems on the enterprise operation and capital operation when starting a business and enabling them to gain a deeper understanding of the enterprise, the wealth and the society.

For the EMP Course, we have built a strong team of project consultants by forming strategic alliances with famous risk agencies home and abroad, investment banks, public accounting firms and law firms so as to evaluate the strategic thought on international operation and the decisions of commanding the whole situation for the entrepreneurs and lay a solid foundation for enterprises to move towards internationalized capital market.

	Market Choice and Opportunity Identification:
	创业型企业怎样寻找最合适的行业、切入点和目标市场，在不局限于所拥有资源的前提下，如何识别机会、抓住机会、利用机会并创造最大化经济效益。
	How the entrepreneurs find the most suitable industry, the entry point and target market; how they identify, catch and utilize the opportunities to maximize the economic benefits on the prerequisite beyond the limit of the available resources.

	Business Pattern Design:
	创业型企业如何整合企业的内外关键要素，保证持续盈利，探讨商业模式创新思路及改进方案，实现企业的最大价值。

	How entrepreneurs plan the patent strategy, trade mark strategy to ensure the foundation and competitiveness of the enterprise; how they manage and protect their intellectual property to achieve the maximization.

Extra-curriculum Guidance	In the form of one to one or a small group, the project consultant for the course mentioned above will be invited to discuss the in-depth issues the entrepreneurs are concerned about at the initial stage of starting an undertake.

	主要内容：介绍产品和服务的广义概念。结合具体案例讨论创业型企业产品和服务的方向与聚焦点的选择，产品和服务的开发策略，核心技术及竞争优势的构建，以及对联合研发的评估和管理等问题。
	Main contents: introduce the general concept of the products and services. Given the specific case, discuss the orientation of the products and services of the entrepreneur and the choice of the focus, the formation of the core techniques and competitive edge and the evaluation and management of combined research and development etc.
	创业企业市场营销：
	Entrepreneurs Marketing:
	重点介绍创业型企业市场开发与销售的基本理念，结合具体案例讲解创业型企业如何评估、计划和实施其市场开发策略和销售策略，如何实现差异价值化等内容。
	Focus on the introduction of the basics of the entrepreneur on the market exploration and sale and explain how entrepreneurs evaluate, plan and implement their market development strategy and sales strategy and how they realize the value differentiation etc.
	组织结构与流程设计：
	Organizational Structure and Procedure Design:
	重点介绍，公司组织和体系的基本概念、种类和特征，如何构建适合创业阶段及长期发展目标的组织结构和业务流程。结合实际案例讨论如何进一步完善创业型公司的组织构架与体系构架等重要结构。
	Focus on the introduction of the basic concept, categories and features of the corporate organization and system and of how to form the organizational structure and business process suitable for the initial stage of starting an undertaking and the long-term development. In the context of the specific case, discuss how to perfect the important structures of the entrepreneurs such as the organizational structure and systematic structure etc.
	企业人才培养与激励：
	Enterprise Talents Nurturing and Encouragement:
	主要包括，了解人力资源管理战略的理念和观念，结合实际案例讲述创业型公司中，如何选拔、培养和管理中高级人才，如何在股权、期权及薪酬方面进行激励，以及跨文化管理团队的建设等问题。
	Mainly cover the philosophy and the notion of human resources management strategy and account of how entrepreneurs choose, nurture and manage mid and senior talents, how they make encouragement in equity, option and salary and the team work with intercultural management in the context of the specific case.
	财务报表及财务规划：
	Financial Statement and Planning:
	介绍财务报表的结构和相关法规，财务规划的基本理念。结合实际案例，讲授如何读懂财务报表，及创业企业如何依据公司的发展目标，对企业的经营活动进行合理的财务的规划和管理。
	Introduce the structure and the relevant regulations of the financial statement and the basics of the financial planning. Given the specific case, teach on how to understand the financial statement and how entrepreneurs conduct the financial planning and management properly on their operations based on the long-term development goals of the companies.
课外指导	以一对一，或者小组的形式，请上述课程相关项目顾问探讨创业家所关心的企业运营当中遇到的特定问题。

治理阶段	企业股权结构设计与公司治理
Governance Stage	Corporate Equity Structure Design and Corporate Governance
	讲授公司治理和股权结构的基本概念，讨论股权结构与公司内部治理和外部治理的相互影响。结合实际案例，讨论创业型公司如何建立适应目前情况和中长期发展目标的股权结构，完善现有股权结构的方法。
	Teach the basics of the corporate governance and the equity structure and discuss the equity structure and the interplay between the internal governance and external governance of the company. In the context of a specific case, discuss the way the entrepreneur establishes the equity structure suitable for the current situation and mid-term and long-term development goal and perfect the current equity structure.
	企业董事会构建与运作
	Establishment and Operation of the board of directors of the company
	讲授公司董事会制度的特征、性质与功能，董事会的职责、产生方式和权限，董事会与公司治理的相互影响。结合实际案例，讲授董事会如何更好的履行职能，董事长或大股东如何做好一个核心领导人。
	Teach the features, nature and functions of the board of directors of the company, the responsibilities, formation mode and rights of the board and the interplay between the board and the corporate governance. In the context of a specific case, teach how the board of directors performs its functions in a better way and how the chairman and the large shareholder make good core leaders.
	风险管理与企业内控
	Risks Management and Corporate Internal Control
	讲授风险管理的概念和要素，风险的种类和管理方法等内容，探讨风险管理与公司治理、内部审计的关系。结合实际案例，讨论如何建立公司战略风险管理体系。
	Teach the concept and key factors of the risks management, risk categories and management approach etc; discuss the relationship between the risks management and the corporate governance and internal audit. In the context of a specific case, discuss how to establish the strategic risks management sys tem of the company.
课外指导	以一对一，或者小组的形式，请上述课程相关项目顾问探讨创业家所关心的企业治理当中遇到的特定问题。

融资阶段	商业计划书：
Financing Stage	Business Plan：
	讲授商业计划书的主要组成部分，撰写商业计划书的目的和功用。如何了解阅读者的需求，如何协调公司内部资源撰写商业计划书，以及如何选择合作伙伴并共同完撰写工作。
	Teach the main parts of the business plan, the purpose and the function of drawing up a business plan. Teach how to find out the reader’s needs, how to coordinate the internal resources of the company in drawing up a business plan and how to choose a good partner to complete the business plan together.
	借贷市场融资：
	Financing in the Credit Market：
	介绍国内外现有各种借贷市场运作机制、结构和规则，目前形式和发展趋势。结合实际案例讨论创业型企业如何从各种借贷市场进行融资，包括相关渠道、规模、规则和风险等问题。
	Introduce the operation mechanism, structure and rules of the existing credit markets home and abroad, the current situation and development trend. In the context of a specific case, discuss how entrepreneurs raise capital in various credit markets, including the relevant channels, scale, rules and risks etc.
	风险投资市场融资：
	Financing in the Risk Investment Market：
	重点内容包括介绍各种风险投资基金的运作方式和结构组成，VC对企业的分析评估程序，投资条款，退出机制的内容等。结合实际案例讨论如何与VC进行沟通和谈判，如何给企业正确定价，以及评估VC带来的附加价值等。
	Focus on the introduction of the operation mode and the structure of various risk investment funds, VC's analysis and evaluation procedures on the enterprise, investment provisions and the exit route mechanism etching the context of a specific case, discuss how to communicate and negotiate with VC, how to price the enterprise properly and evaluate the additional value VC brings about etc.

上市阶段	上市流程及创业企业上市战略选择：
IPO Stage	Going Public Procedures and Strategic Choice for Entrepreneurs to Go Public：
	主要内容包括，介绍全球主要证券交易所的基本情况和相关法规，及上市的流程和合作伙伴。结合实际案例讨论创业型企业如何选择上市的地点、合作伙伴和上市的时机。
	The main contents cover the introduction of basic information and the relevant regulations of the main stock exchanges worldwide, the procedures for going public and the partners. In the context of a specific case, discuss how entrepreneurs choose the right locations and opportunities to go public and how they find good partners.
	投资银行选择与合作
	Investment Bank Selection and Cooperation
	讲授投资银行的运营方式、业务领域。结合实际案例，讲授创业型企业在上市过程中与投资银行如何沟通与合作，投资银行能够给企业带来怎样的附加价值。
	Teach the operation modes and business scope of the investment banks. In the context of a specific case, teach how entrepreneurs communicate and negotiate with the investment banks when they go public and what additional value the investment banks can bring to the enterprises.
	会计师事务所选择与合作
	Public Accounting Firm Selection and Cooperation
	讲授国内外会计师事务所的体制、运营方式和业务领域，我国对从事证券相关业务的会计师事务所的相关法规。结合实际案例，讨论创业型企业在上市过程中如何与会计师事务所进行合作。
	Teach the systems, operation modes and business scope of the public accounting firms home and abroad and the regulations of the country for the public accounting firms engaged in bond-related business. In the context of a specific case, discuss how entrepreneur cooperate with the public accounting firms when the go public.
	律师事务所选择与合作
	Law Firms Selection and Cooperation
	讲授企业律师如何协助企业进行改制重组建立股份制公司，如何协助企业进行股票发行和上市，律师如何进行尽职调查和撰写《法律意见书》。
	Teach how the enterprise lawyer assist the enterprises in restructuring and forming companies by shares, how they assist the enterprises in issuing shares and going public and how they conduct a due diligence and write a “legal opinion”.

	Introduce the basic theories, modes and characteristics; in the context of a specific case, discuss how to expand though merger and how to consolidate effectively after merger. 课外指导	以一对一，或者小组的形式，与银行、VC公司、券商、律师和会计师等项目顾问探讨创业家所关心的融资与上市当中的特定问题。

[Strategic Alliance]

国际及本土著名VC公司、投行、律师及会计师事务所将和我们组成战略联盟，为学员进行小组及一对一的课外辅导，最大限度的缩短到达资本市场的距离

We will form strategic alliances with the international and local VC companies, investment banks, law firms and public accounting firms, offering after-class tutorship to the students in the form of one to one or a small group and minimizing the distance to the capital market.

【教学管理】

[Administration]

●     学习时间：学习期限为24个月，每三个月集中授课一个星期。

●     Period: the students will study for 24 months and take intensive classes a week every three months.

●     学习方式：课程以教师讲授和案例分析为主，以小组讨论、项目顾问的课外指导为辅的形式。

●     Approach: the course will take the form of lecturing and case study as the main pole and group discussions and after-class instructions of the project counselors as the auxiliary pole.

●     教服管理：每门课程将配备专门的辅导教师（外籍教授将会配设同声传译）、项目顾问及教学助理，帮助学员与教师沟通及解答疑难问题。

●     Teaching Services Management: the tutors (simultaneous interpretation offered in case foreign teachers give lectures), project consultants and teaching assistants will specially be assigned to help students communicate with the teachers and solve the difficult questions for each course.

●     授课地点：课程将在深圳、北京、上海、香港、新加坡、台湾、英国及美国等地进行，除在北大进行授课外，还将在国外名校及世界著名企业内授课，亲身体验著名企业的管理和文化，感受当地的资本交易市场的环境和规则。

●     Lecturing Places: the classes will be conducted in Shenzhen, Beijing, Shanghai, Hong Kong, Singapore, Taiwan, UK and America; students will take classes in the famous universities abroad and well-known enterprises world wide besides in Peking University, experiencing the management and cultures of the well-known enterprises and getting a real feel of the environment and regulations of the local capital trading markets.

The founders or large shareholders of the enterprises with the potential and conditions are to be listed.

最近一年盈利，且净利润不少于500万元，或最近一年营业收入不少于5000万元的企业创始人、大股东及CEO。

The founders, large shareholders and CEOs of the enterprises which earned net profits of at least 5 million or operating revenues of at least 50 million in the past year.

Tuition: RMB 360,000yuan／person

（包括授课费、教材讲义费、同声传译费和翻译费、论文审查及课间茶点等费用。不包括海外上课所需的国际旅费和食宿费用。）
